How it works.

Delaware’s notice can bill a startup tens of thousands. River works out the lower legal tax from your real shares and assets and fills in the annual report up to the payment page.

  1. Confirm your Delaware figures

File number, shares, year-end assets, directors and the tax both ways, each figure with its source.

  2. River fills in the report

On Delaware’s site in your browser, after you type the image code, with the numbers that earn the lower tax.

  3. You pay the smaller bill

The payment page waits with the lower tax showing. River never types card or bank details.

What you get.

  • A Sheet with both methods side by side, every input sourced and dated
  • Delaware’s annual report filled in to the payment page, the lower tax showing
  • A yearly February 1 reminder, so you file before the March 1 deadline

A few things to know.

Why is my Delaware bill so high?

The notice uses the authorized shares method, which can run to tens of thousands for a startup. The assumed par value capital method uses your issued shares and gross assets, and usually comes to hundreds or a few thousand.

Is paying the lower amount allowed?

Yes, both methods are in Delaware’s own rules. Delaware charges the lower one once your annual report lists issued shares and gross assets, which River fills in for you.

What does it cost?

It uses your plan’s AI credit, like everything else in River. You pay Delaware’s tax and report fee yourself, on Delaware’s site.
