River writes the release, then writes the document that decides whether the release holds: one row per claim, with what it rests on, who inside the company owns it, and whether a reporter can reach that source without asking you. The number you announce is the easiest thing in the release to check, and for a private round it is frequently already on file. The pitch emails come per reporter, built from what each of them has actually published.

Search this and you get eight-section templates. Headline formula, lead paragraph with seven facts in it, two hard numbers, one founder quote, one investor quote, boilerplate, then distribution. Follow every line of it and you still send a release carrying a market-size figure nobody can trace and a customer count that disagrees with the deck. Templates handle the shape. The number a reporter can look up before they call you

For a private round, the amount is often on file before the release goes out. An issuer relying on Rule 506 must file a notice of sales on Form D no later than 15 calendar days after the first sale in the offering. That filing is public and searchable, and it carries the issuer, the related persons, the total offering amount and the amount actually sold. A reporter who covers funding checks it, and the release has to agree with it or explain the difference.

Timing is not a matter of taste either. Under Regulation D an issuer relying on the ordinary exemption cannot offer securities by any form of general solicitation or general advertising, and the rule names an article or notice published in any newspaper or magazine explicitly. The same paragraph carves out the Form D filing itself, which is not treated as solicitation. So the filing is safe and the release is the thing that waits for the close.

Which exemption the round used decides what can be said and when. Rule 506 runs two paths: one prohibits general solicitation, the other permits it where every purchaser is accredited and the issuer takes reasonable steps to verify that. Establish which one applies before an embargo date gets agreed with anybody, because the answer settles whether a pre-close briefing is routine press work or a live problem for the round itself.

Common questions

Is the round amount really public before we announce?

For most private rounds relying on the usual exemption, yes. The notice of sales is due within fifteen calendar days of the first sale, and it is searchable from the moment it lands. The release does not have to match it exactly. It has to explain the difference, in one sentence, before anybody asks.

We are not announcing funding. Does this still work?

Yes. An acquisition, an appointment, a certification and a launch all get the same treatment, because the failure is identical in every case: one claim nobody can source, checked by the one reporter who bothered. Bad news is different: it runs on a statutory clock, and that is the crisis and issues comms pack.

What happens to the market-size number?

It gets cut unless you can name the report, the publisher and the year. Almost every market figure in circulation traces back to a press summary of a paywalled report nobody has read. A reporter who cannot cite it will not use it, and the sentence around it was carrying nothing anyway.

Who writes the quotes?

You get options rather than one draft, because a quote goes through approval and a single version means a rewrite. Each option makes a different argument, and the interchangeable ones about being thrilled to partner with a visionary team are not among them. Investor quotes arrive with what to ask their comms team for.

How is this different from a press release template?

A template gives you eight sections and brackets to fill. This produces the release and then the table deciding what can stay in it, which is where the market-size figure and the superlative come out. The pitch is per reporter, from what they published, rather than one email to a list. Building that list, and deciding who gets which angle, sits in the media list and pitch pack.

When can the release actually go out?

After the close, and the reason is structural rather than superstitious. One of the two exemptions a private round is usually raised under prohibits general solicitation and names published articles and notices specifically. Establish which one applies before an embargo date is promised to anybody.
