The clock that matters is rarely the compliance deadline itself

A lapsed status is one fact. What it is putting at risk, a deadline on a receivable, a closing date, a covenant, is the number that decides whether the cure is routine or urgent.

Every bracket fills from your own entity family. Nothing here ships with a lapse already in it.

An entity management spreadsheet lists every subsidiary once: name, jurisdiction, a status column reading good standing. That column shows whether somebody believes the entity is fine, not whether anyone checked, and a family of entities has no moment where anyone looks at all of them together. Delaware's own rule shows why a status needs a date: once a registered agent resigns without naming a successor, the corporation has 30 days from the filing to designate a new one before its charter is declared forfeited.

Meridian Group Holdings, Inc. and its 13 subsidiaries hit both failure modes the same week. Meridian Labs, Inc.'s Delaware registered agent resigned without a successor on 3 November 2025; the 30-day cure window closed 3 December, and its charter is now forfeited. Meridian Fulfillment, Inc. was suspended in California on 5 January 2026 for an unpaid $800 minimum franchise tax, which strips a corporation of power to sue or defend itself while suspended. It is plaintiff on a $340,000 receivable whose four-year deadline falls 18 May 2026, 97 days out and running regardless.

Every status in the Entity Register carries a source and a checked-on date, not a carried-forward assumption, and every lapse ranks by what it puts at risk rather than its own due date. The Registered Agent Register computes the statutory clock once a resignation notice is filed, and the Officer and Director Register checks each appointment against a real board action. Reading somebody else's data room and counting one company's own corporate acts both ask this for one deal; this register asks it across a whole family, before a closing date depends on the answer.

Row one is not a routine tax bill

Meridian Fulfillment is the plaintiff on an unpaid $340,000 invoice against Castellan Retail Group, LLC for a written contract breached 18 May 2022. Its four-year deadline is 18 May 2026, 97 days out, and the suspension does not pause it. Reinstatement fixes the entity. It does not revive a claim filed too late.

Row two has no live deadline yet, and that is the risk

Nothing is currently on fire at Meridian Labs. That is exactly why nobody has moved: the charter has been forfeited for over two months, and the first time it will matter is the day someone tries to sign something in its name.

The 30 days ran while nobody was looking

A resignation notice goes to the corporation, not to whichever office actually tracks this. Meridian Labs’ registered operating business gave nobody a reason to open its corporate mail, so the clock ran out unopposed. The cure is a Certificate of Revival under 8 Del. C. Section 312, but it needs a newly designated agent named first, and the statute’s retroactive validation of acts taken during the lapse does not fix a counterparty’s confidence today if this entity is disclosed on a term sheet before the revival is filed.

The stale name is not the finding. The confirmation is.

Two documents disagree about who is Secretary at Meridian Labs, and the register does not average them or trust whichever is more recent. It checks, and records that the board consent controls because someone confirmed it, leaving the tax filing’s own error uncorrected on Delaware’s side until the next annual report supersedes it.

Three entities have no officer who actually holds the office

A parent’s officers do not carry down to a subsidiary without that subsidiary’s own board action naming them. Three entities here have been signing contracts and bank documents on an assumption with no consent behind it anywhere.

Is this template free?

What format are the downloaded files?

Word (.docx) for the Governance Calendar and the Officer and Director Register Note, and CSV (.csv) for the four registers. Excel, Numbers and Google Sheets open the registers directly, and the two documents open in Word, Pages or Google Docs.

Why rank by runway instead of by due date?

Because a due date reads the same in January as it does the week it actually bites. A lapsed registered agent starts a statutory clock. Once that clock runs out, what matters is the runway left on whatever the lapse now threatens, a receivable's statute of limitations or a closing date, not the size of the unpaid tax that caused it.

Does reinstatement fix everything once it is filed?

It fixes the entity's status. It does not pause a downstream clock that kept running the whole time; suspension does not toll a receivable's statute of limitations. Paying a delinquent tax is usually fast; the reinstatement certificate that restores capacity to sue can take longer, and that gap is where a deadline gets missed even after everything else is done.

How is this different from a single-entity compliance checklist?

A single company gets checked before its own renewal because someone remembers to look. A family of entities has no equivalent moment, so this register forces a source and a date onto every row across every entity at once, rather than trusting whichever one somebody happened to open this month.

What happens when a diligence request asks for all of this at once?

It almost always asks for the same three things across every entity at once: dated good standing, a current officer and director list, and registered agent information. Answer from the registers as they stand, refresh whatever was checked months ago first, and disclose any lapse with its cure already in motion rather than letting the other side find it cold.
